Forge Event Terms

These Forge Event Terms ("Terms") govern your registration for and attendance at Forge, Provarro's annual community working event, operated by TBG Performance Group, Inc., doing business as Provarro ("Provarro," "we," "us," or "our").

By registering for or attending Forge, you agree to these Terms. If you are registering on behalf of another person (a guest, plus-one, or colleague), you are responsible for ensuring they read and follow these Terms.

1. Who These Terms Cover

These Terms apply to everyone who attends Forge, including non-member attendees, guests and plus-ones, and the individual staff and guests a sponsor sends. They set the conduct, confidentiality, media, information-handling, liability, and cancellation terms for your attendance.

If you attend as a Provarro member, your Master Services Agreement ("MSA") governs your attendance. These Terms supplement your MSA and apply to you only where your MSA is silent; where these Terms and your MSA conflict, your MSA governs — including the likeness and media terms in MSA Section 5.4, which continue to apply to members.

If a sponsor sends you, your sponsor's organization is separately bound by its sponsorship agreement with Provarro. These Terms govern you as an individual attendee, in addition to any obligations your sponsor's agreement places on you.

2. Code of Conduct

Forge is a collaborative working event built on trust between the people in the room. While attending — in sessions, at meals, in shared spaces, and in any event communications — you agree to:

• Act ethically, honestly, and in good faith.
• Conduct yourself professionally and treat other attendees, coaches, and staff with respect.
• Not harass, discriminate against, abuse, threaten, or create a nuisance to others.
• Comply with the rules of the venue and with all applicable laws.

Forge is a working and learning event, not a sales or recruiting venue. Do not solicit, recruit, pitch, or market to attendees, coaches, or staff except where Provarro has expressly arranged it (for example, a sponsor's scheduled session).

Provarro may remove any attendee from the event, without refund, for conduct that violates this Section or that disrupts other attendees. This decision is at Provarro's sole discretion.

3. Confidentiality of the Room

Forge attendees share real business information — financials, operations, strategies, and customer relationships — because the room is trusted. To keep it that way:

You agree to keep confidential any non-public information you learn about a member, an attendee, or their business through your participation in Forge, and not to use or disclose it outside the event without that person's permission. This obligation continues after the event ends.

This Section does not restrict information that is already public through no fault of yours, that you already knew, or that you are required to disclose by law.

4. Photography, Video, and Recording

Provarro's capture. We have a photographer and videographer capturing Forge throughout the event. These images and recordings may appear in Provarro marketing afterward — our website, LinkedIn, and sponsor and sales materials.

Your opt-out. If you would rather not be photographed, tell a staff member when you check in. We will do our best to keep you out of frame on-site, and we will not feature you in anything we publish.

Your own recording. Sessions and peer discussions may not be recorded, photographed, or live-streamed by attendees without Provarro's prior permission. This protects the confidentiality of the room described in Section 3.

5. Your Information

Privacy. How we collect, use, and safeguard your personal information is described in our Privacy Policy at provarro.com/privacy.

Sharing with sponsors. Forge brings members and sponsors together by design. By registering, you agree that Provarro may share your name, company, and role with Forge sponsors before, during, and after the event, for the purpose of sponsor-led conversations, follow-ups, and post-event engagement. Your email and phone number are never shared without your separate opt-in. You may ask us to redact your information from sponsor-shared materials at any time by emailing [email protected].

Information we hold to serve you. You may give us, or we may collect, information used to host you well — dietary restrictions and food allergies, accessibility needs, and apparel size. You consent to Provarro retaining this information to plan meals, sessions, and event logistics. We use it only for those purposes, and you may review, update, or ask us to remove it at any time by emailing [email protected].

Marketing and text messages are separate and optional. Any consent to receive marketing emails or event text messages is a separate, optional choice you make at registration. It is not part of these Terms, and declining it does not affect your registration.

6. Registration, Cancellation, and Transfer

Your registration is personal. Registrations are issued to you as a named attendee and may not be transferred or given to another person without Provarro's prior written approval.

If you cannot attend. Please release your seat as early as possible by emailing [email protected], so we can offer it to another guest. Forge seating is limited, and a released seat helps someone else attend.

Fees and refunds. Some Forge registrations are complimentary or by invitation; others may carry a registration fee. If your registration carries a fee, the cancellation and refund terms for that fee are stated at the time of registration and govern any refund. Sponsor organizations' cancellation and refund terms are governed by their sponsorship agreements, not by this Section.

7. Assumption of Risk

Forge is an in-person event that involves travel and participation in a shared venue. You attend voluntarily and accept the ordinary risks of attending an in-person event, including risks associated with travel, the venue and its facilities, food and beverage, and interaction with other attendees.

You are responsible for your own personal property while at the event. Provarro is not responsible for property that is lost, damaged, or stolen at the venue.

8. Program Changes and Force Majeure

Provarro may change the Forge agenda, sessions, speakers, format, or venue where reasonably necessary to run the event well, and will communicate material changes to registered attendees.

If Provarro is prevented from holding the event, or must materially change it, by causes beyond our reasonable control — including acts of God, pandemic, government restrictions, civil unrest, terrorism, natural disasters, venue failure, or failure of communication or transportation systems — we will be excused from performance for a commercially reasonable period and will make reasonable efforts to reschedule or otherwise address the disruption. Any refund of a registration fee in these circumstances is governed by the fee terms stated at registration (Section 6).

9. Limitation of Liability and Indemnification

Limitation of liability. To the maximum extent permitted by law, Provarro will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your registration or attendance. Provarro's total liability for any claim arising from your attendance at Forge will not exceed the registration fee you paid to Provarro for that event, if any. These limitations do not apply to liability that cannot be limited by law, or to Provarro's gross negligence or willful misconduct.

Indemnification. You agree to indemnify and hold harmless Provarro and its officers, employees, coaches, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your acts or omissions at Forge, including harm you cause to other attendees, Provarro staff, or the venue.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your attendance at Forge will be brought exclusively in the state or federal courts located in North Carolina, and you consent to the exclusive personal jurisdiction and venue of those courts.

If you attend as a Provarro member, the dispute resolution terms of your MSA govern instead of this Section.

11. General

Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Changes to these Terms. We may update these Terms from time to time. The version in effect for your attendance is the version posted when you register. Material changes will be reflected in the effective date above.

Entire terms. These Terms are the entire agreement between you and Provarro regarding your attendance at Forge, except that, for members, the MSA governs as described in Section 1, and for sponsors, the sponsorship agreement governs the sponsor organization.
